These Terms of Service (“Terms”) govern your access to and use of the software, platform, and related services (the “Services”) provided by Gradeum Technologies, LLC (“Gradeum,” “we,” “us,” or “our”), a Texas limited liability company. By creating an account, clicking “I Accept,” or accessing the Services, you (“you” or “Client”) agree to be bound by these Terms, our Privacy Policy, and our Master Services Agreement, all of which are incorporated herein by reference.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Gradeum provides an AI-powered knowledge management and workflow platform designed for professional engineering firms. The Services include:
The Gradeum Platform: a cloud-hosted orchestration service that processes queries, retrieves relevant information from firm documents and engineering standards, and routes AI-generated responses through professional engineering review workflows.
The Nexus: a locally installed software application that indexes a firm’s documents on the firm’s own server. Firm documents never leave the firm’s network.
AI-assisted search and retrieval powered by third-party AI reasoning engines (currently Anthropic Claude and OpenAI GPT-4o).
Document workflow tools including basis of design iteration, quality control routing, PE review queues, and responsible charge logging.
Gradeum provides software services only. Gradeum does not provide engineering services, engineering advice, or professional engineering judgment.
To access the Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
Accounts are provisioned by invitation from an organization administrator or by Gradeum. Certain account roles (PE, Principal) require verification of professional credentials. You agree that Gradeum may verify license numbers and credentials with applicable state licensing boards.
You must notify Gradeum immediately of any unauthorized use of your account.
The Services operate on a prepaid Compute Dollar billing model. User accounts and platform access are provided at no charge. You pay only for AI-powered intelligence queries, which consume Compute Dollars based on computational resources used.
Compute Dollars may be purchased through the platform via Stripe in standard denominations ($50, $100, $250, $500) or custom amounts. All purchases are one-time prepaid transactions. There are no subscriptions, recurring charges, or minimum commitments.
Compute Dollar balances do not expire. Unused Compute Dollars remain in your account indefinitely. New organizations receive a complimentary allocation of Cascade queries for evaluation purposes.
Compute Dollar purchases are non-refundable except where required by applicable law or where Gradeum terminates your account without cause. In the event of termination without cause by Gradeum, any remaining balance will be refunded within thirty (30) days.
Gradeum may adjust per-query costs with sixty (60) days’ notice. Adjustments apply to future queries only and do not affect existing balances.

The Services are designed for use by professional engineering firms under the supervision of licensed Professional Engineers (PEs). All AI-generated outputs are reference material only and must be reviewed by a licensed PE before use in any engineering deliverable, permit application, or professional document.
The Services maintain an immutable responsible charge log recording PE review and approval actions. This log cannot be modified or deleted by any party, including Gradeum.
Gradeum does not exercise engineering judgment, provide engineering recommendations, or assume professional liability for engineering decisions made using the Services.
Gradeum retains all rights in the Services, including software, algorithms, interfaces, and documentation. These Terms grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.
You retain all rights in your documents, drawings, reports, and other content processed through the Services. Gradeum claims no ownership interest in your engineering work product.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GRADEUM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
GRADEUM DOES NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR USE IN ENGINEERING DELIVERABLES WITHOUT INDEPENDENT PROFESSIONAL REVIEW. YOU ASSUME ALL RISK ASSOCIATED WITH RELIANCE ON AI-GENERATED CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRADEUM’S TOTAL LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) FIFTY THOUSAND DOLLARS ($50,000).
GRADEUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOSS OF DATA.
You agree to indemnify and hold harmless Gradeum from any claims, damages, or expenses arising from: (a) your engineering decisions or work products; (b) your violation of these Terms; or (c) your violation of applicable law.
You may stop using the Services at any time. Gradeum may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Services ceases. Your documents remain on your server, unaffected. Sections 6 through 10 survive termination.
Gradeum may modify these Terms at any time by posting the revised Terms on the platform or by providing notice via email. Material changes will be communicated at least sixty (60) days in advance. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.
These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved exclusively in the state or federal courts of Harris County, Texas. You consent to the personal jurisdiction of such courts.
If any provision of these Terms is held invalid, the remaining provisions remain in effect. Gradeum’s failure to enforce any provision does not waive its right to do so. These Terms, together with the Master Services Agreement, Privacy Policy, and any NDA between the parties, constitute the entire agreement between you and Gradeum.
